This 4-page agreement is for business owners to give to independent contractors and/or third-party vendors. It is a simple agreement, that contains a confidentiality provision. Independent Contractors may also use this template to give clients limited work.

THIS AGREEMENT DOES NOT preclude the contractor from working for other people–even if it’s with direct competition.

The main purpose of this Agreement is to list out the duties expected to be performed by both parties and to be clear that the independent contractor is NOT an employee and to limit liability.
